1. Use of the Service By accessing AORForms, you confirm that you are at least 18 years old and have the legal authority to use our services. You agree to use the Service in full compliance with these Terms and all applicable laws. You agree not to misuse the platform or engage in any activities that could harm AORForms, its users, or the integrity of the service, including any use that is fraudulent, illegal, or in violation of any telecommunications policy.

   
   

2. Accounts and Subscriptions To use AORForms, you are required to create an account and subscribe to one of our plans. All users must provide accurate information and keep it up to date. Subscriptions renew automatically unless canceled before the next billing cycle.

   
   

3. Payment and Billing All payments are processed securely. You are responsible for ensuring that your payment method is valid and up to date. In the event of a payment failure, AORForms reserves the right to suspend or terminate your account until the issue is resolved.

   
   

4. User Content and Data You are responsible for all content and data you upload or submit to the platform. AORForms does not claim ownership of your data, but reserves the right to use it for delivering the services and improving our offerings. We will never sell your data to third parties.

   
   

5. Subscriber Obligations, Representations, and Warranties You (the "Subscriber") represent, warrant, and agree that:

   1. Compliance with All Laws. You are solely responsible for ensuring that your use of the Service, including the sending of all electronic communications (such as text messages and emails) and the request for electronic signatures, complies with all applicable federal, provincial, state, national, and international laws, regulations, and industry guidelines. This includes, but is not limited to, Canada's Anti-Spam Legislation (CASL), the Personal Information Protection and Electronic Documents Act (PIPEDA), the U.S. Telephone Consumer Protection Act (TCPA), all U.S. state-level "mini-TCPA" laws, the U.S. ESIGN Act, the EU's General Data Protection Regulation (GDPR) and eIDAS Regulation, and all rules of any applicable telecommunications carriers.

   2. Sole Responsibility for Consent. You are the "Sender" of all communications sent on your behalf through the Service. You are solely responsible for obtaining and maintaining, from your end-clients, all legally required consents and permissions before sending any message via the Service.

   3. Proof of Consent. You agree to obtain and maintain a verifiable record of all such consents and to provide such proof to AORForms immediately upon request.

   4. Binding Attestation. Any in-platform attestation you provide (such as checking a compliance checkbox) when sending a message constitutes a binding legal warranty and representation that you have obtained and can prove the required level of consent for that specific communication, in accordance with the laws of the recipient's jurisdiction.

   5. Acceptable Use. You agree not to use the Service for any purpose that is illegal, harassing, fraudulent, libelous, or in violation of any telecommunication carrier's acceptable use policy. AORForms maintains a zero-tolerance policy for spam and illegal use of its platform.

   
   

6. Termination of Services AORForms reserves the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for any conduct that we believe violates these Terms and Conditions, including but not limited to the failure to maintain and prove end-client consent, any suspected violation of law (such as the TCPA or CASL), misuse of the platform, or failure to make timely payments.

   
   

7. Limitation of Liability AORForms is provided “as is” without any warranties, express or implied. We are not responsible for any damages, losses, or liabilities arising from the use or inability to use the platform. Our total liability shall not exceed the amount you have paid for the services in the past 12 months.

   
   

8. Indemnification You (the "Subscriber") agree to indemnify, defend, and hold harmless EGraph Signature and Forms Inc., its affiliates, officers, directors, employees, and agents ("AORForms") from and against any and all third-party claims, lawsuits, actions, damages, liabilities, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

   1. Your breach of these Terms and Conditions;

   2. Your failure to obtain all legally required consents from your end-clients;

   3. Any communication (including text messages) sent from your account;

   4. Your violation of any applicable law, regulation, or industry guideline (including but not limited to CASL and the TCPA);

   5. Any claim that your content or data infringes on the rights of a third party.

   
   

9. Governing Law These Terms and Conditions are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.

   
   

10. Changes to Terms AORForms reserves the right to modify these Terms and Conditions at any time. Continued use of the platform following any updates constitutes acceptance of the revised terms.
